By using the services of Caperbit ("we", "us", "our"), visiting our corporate website (caperbit.com), or using any software solutions, custom APIs, or integrations provided by us, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.
If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent that you possess the authority to bind such entity to these Terms. If you do not agree to these terms, you must immediately cease all access and use of our services.
2. Description of Services
Caperbit is an IT services and custom software engineering company. Our services include, but are not limited to:
- Custom web and mobile application engineering (React.js, Next.js, Flutter, Node.js).
- Enterprise Resource Planning (ERP) and Customer Relationship Management (CRM) design.
- DevOps automation, cloud infrastructure design (AWS, GCP, Azure), and security configurations.
- Conversational AI solutions and official API integrations (such as Meta Business API endpoints).
Specific timelines, budgets, and project deliverables are governed by separate, signed master service agreements (MSAs) or statements of work (SOWs).
3. Client Accounts & Credentials
To utilize certain customer dashboards, hosting panels, or custom CRM software configured by us, you may be required to maintain account credentials:
- Security Responsibility: You are entirely responsible for maintaining the confidentiality of your API tokens, access secrets, passwords, and private channels.
- Account Activity: You assume full liability for any API transactions, database calls, or communications initiated under your client account.
- Unauthorized Access: You agree to notify us immediately of any security breach or unauthorized access to credentials managed under our services.
4. Third-Party API Policies (Meta / WhatsApp Cloud API)
Caperbit builds custom systems that interface with third-party networks, most notably the Meta Cloud API & WhatsApp Business Platform. Clients utilizing these integrations must comply with the following:
Adherence to Platform Terms
Clients using WhatsApp Business messaging systems engineered by us must review and strictly adhere to Meta’s Developer Policies, the WhatsApp Business Terms of Service, and the WhatsApp Business Policy.
Consent & Opt-In Requirements
You are solely responsible for obtaining and verifying the appropriate opt-ins and consents from end-users before initiating communications via the WhatsApp Business API.
Account Costs & Meta Billing
Any fees billed directly by Meta for message templates, conversation categories (utility, marketing, authentication), or developer features are the client’s sole financial responsibility.
Integration Termination
Meta reserves the right to suspend or block WhatsApp Business accounts that violate platform policies. Caperbit is not responsible for any suspension resulting from customer-initiated content or template violations.
5. Intellectual Property
All elements of the Caperbit website and services, including corporate logos, site design, text content, illustrations, and proprietary code templates are protected under copyright, trademark, and intellectual property regulations.
For custom-engineered software projects: code ownership, license distribution, and software delivery transfer milestones are governed exclusively by the terms specified in your individual contract or statement of work.
6. Prohibited Activities
You agree not to use our systems, APIs, hosted servers, or applications to:
- Distribute spam, unsolicited messages, or unauthorized advertisements on client channels.
- Conduct automated scraping, reverse engineering, or data extraction of our proprietary tools.
- Transmit files containing computer viruses, trojans, worms, or malicious scripts.
- Attempt to bypass API authorization protocols, test endpoints for vulnerabilities, or execute denial of service (DDoS) campaigns.
- Violate any regional, national, or international regulations governing data transmission and consumer protection.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Caperbit provides its website, tools, configurations, and applications "as-is" and "as-available" without warranties of any kind.
We assume no liability for:
- Outages or service interruptions caused by third-party API providers (including Meta/WhatsApp platform downtime).
- Data losses, transmission failures, or server response latency occurring outside our cloud control.
- Indirect, incidental, or consequential damages (including lost profits or business interruptions) arising out of the use of our code configurations.
8. Governing Law
These Terms of Service and any dispute arising from your relationship with Caperbit shall be governed by, and construed in accordance with, the laws of the State of Gujarat, India, without regard to conflict of law principles.
Any legal actions, claims, or arbitration procedures must be filed exclusively in the courts located in Ahmedabad, Gujarat, India.
